What is Sovereign Path Fund?

Sovereign Path Is a Registered Hedge Fund

You obtain shares by contributing your RIA firm’s AUM to the fund in a 721 Exchange. In turn, you receive:

  • Access to operational resources
  • A certain amount of shares based on the valuation of your firm. Shares are assigned pro-rata as a percentage of the hedge fund’s total valuation.
  • A dividend per share

The operational resources you get access to are:

  • HR consultants
  • Compliance support
  • A peer group
  • A data warehouse for easy integrations
  • AI tools

You can pick and choose which elements you adopt, except for the data warehouse.

The RIA continues to run as you wish (the ADV and operations stay the same), while you get a quarterly dividend stream and retain ownership through your shares. In the event of one of the RIA firm owners passing away or leaving the company, the shares can be sold or gifted to another party.

Who Is This For?

  • Have grown the firm to $100M–$350M in AUM or $1,000,000 in revenue annually
  • Are ages 45–65
  • Would like to retain ownership and control of RIA operations and culture beyond when they retire
  • Are skeptical of fluff and don’t like what private equity does to small businesses
  • Are wary of the eventual forced sale, the growth treadmill, and being tugged in too many directions (burnout)

How Is It Different From the Competitors?

  • There is no immediate capital gain from offering your RIA firm to the Fund. It is a tax-deferred 721 exchange on contribution. If heirs inherit the shares at market value due to step up in basis at the owner’s death, there will be no capital gains tax on the appreciation. There would be no taxes paid on the sale of your business, in this case.
  • Quarterly dividends → immediate monetization (live off income now).
  • The revenue you make stays with your RIA firm, and you retain full control of it (minus the platform fee) instead of surrendering it to your firm’s buyer.
  • No forced growth timeline, no board approvals — expand on your terms. You may choose to remain as the operator for as long as you wish.
  • Fast growing firms benefit. When you contribute your firm, your ownership is linked to all other firms that are part of Sovereign Path Fund. The share value is derived from the fund AUM, which is based on the valuation of each of the firms that were contributed in. You are granted additional shares (“share awards”) based on achievement of KPI’s.
  • Clean life-event resolution (divorce, disability, death) — no forced sales or debt. Should all owners exit, the Sovereign Path Fund makes your RIA firm a subsidiary of a member firm within the Fund (or appoints a successor if none were selected). You continue to own the shares you were awarded when you contributed your firm into the Fund.
  • When you contribute your RIA firm to the fund, you receive shares which can then be pledged to a bank to obtain as collateral for a loan. The dividend payments can be used to pay the interest on the loan. You will not be taxed on the equity amount, as you would be if you had gotten a forgiveable loan. This means you, not the broker dealer, determine the size of the loan. You can issue it to yourself in whatever frequency you desire.

Core Principles

Separate Legal Entity + Separate ADV

Your RIA remains a distinct legal entity with its own Form ADV and regulatory relationship with the SEC or state authorities. You are not merged into a consolidated entity, and your compliance obligations remain yours to manage with support—not mandates—from the fund.

Founder Authority

You retain full authority over brand, culture, pricing, marketing strategy, and day-to-day operational decisions. There are no board veto rights on client-facing decisions, no forced technology migrations, and no requirement to conform to a standardized service model. Your firm operates the way you built it to operate.

Shared Resources, Not Shared Control

Access to enterprise-grade resources—compliance consulting, technology infrastructure, benchmarking frameworks, and operational best practices—is provided on an opt-in basis. You choose what makes sense for your firm without pressure to conform to a one-size-fits-all model.

Long-Duration Monetization Structure

The fund is designed to create ongoing value for founders, not a single liquidity event followed by earn-outs and contingent payments. The exact mechanics depend on the structure agreed upon, but the philosophy is permanent participation in value creation rather than a transaction that ends your connection to the firm.

How It Works (High Level)

1

Fit + NDA + Confidential Memorandum

The process begins with a discovery conversation to assess fit and alignment. If both parties see potential, a mutual NDA is executed and the confidential investment memorandum is shared. This document contains the structure, governance framework, valuation methodology, and economic modeling that cannot be discussed publicly.

2

Indicative Economics + Governance Alignment

Based on your firm's profile, an indicative economic framework is presented at a high level. This includes valuation range, governance terms, and how the structure would function in practice. The goal is to ensure alignment on principles before investing significant time in detailed due diligence.

3

Implementation Plan and Timeline

If both parties decide to move forward, a detailed implementation plan is developed covering legal documentation, operational integration, client communication, and transition logistics. The timeline is tailored to your firm's specific circumstances and readiness.

Scale without surrender.

It's the checkmate. Curious how others are already playing it?
